Position Summary:
PITC is seeking a high-caliber professional for the role of Company Secretary. This position reports to the Board of Directors and will be primarily responsible for ensuring compliance with legal, regulatory, and corporate governance requirements. The Company Secretary (CS) will act as the advisor to the Board, manage governance processes, and implement best practices in line with applicable laws.
Key Responsibilities:
- Ensure company compliance with legal, regulatory, and corporate governance standards.
- Advise the Board on governance matters and oversee statutory obligations.
- Facilitate Board and shareholder processes and meetings.
- Implement best governance practices and draft policies.
- Maintain high standards of integrity, confidentiality, and professionalism.
Required Qualifications:
One of the following:
- Member of a recognized body of professional accountants;
- Member of a recognized body of corporate or chartered secretaries;
- Master’s degree in Business, Finance, Commerce, or Law from an HEC-recognized university.
Required Experience:
- Option 1: Retired government servant in BPS-18 or above with at least 15 years of service.
- Option 2: Minimum 5 years of full-time experience as a Company Secretary in a government or private sector organization.
Knowledge & Skills:
- Strong knowledge of the Companies Act, SECP regulations, and other corporate laws.
- Familiarity with corporate secretarial practices, statutory compliance, and governance frameworks.
- Proficient in drafting board agendas, resolutions, minutes, and disclosures.
- Strong interpersonal skills with high attention to detail.
- Ability to manage complex tasks and meet tight deadlines.
